By accessing or using Percy's AI coding agent service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Percy is an AI-powered coding agent that integrates with Linear and GitHub to autonomously complete software development tasks. The Service uses artificial intelligence to analyze issues, write code, create pull requests, and apply quality gates to ensure production-ready code.

3. Account Registration and Requirements

• You must provide accurate and complete registration information
• You must be at least 18 years old to use the Service
• You are responsible for maintaining the security of your account credentials
• You must use Linear and GitHub for the Service to function
• You are responsible for all activity that occurs under your account

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or hack the Service
• Use the Service to generate malicious code or malware
• Share your account credentials with unauthorized third parties
• Abuse, harass, or send spam through the Service
• Attempt to circumvent usage limits or security measures
• Use the Service in a way that could damage, disable, or impair our systems

5. Intellectual Property

Your Code: You retain all rights to your code and repositories. Percy does not claim ownership of any code you provide or that the Service generates for you.

Our Service: Percy, including all AI models, quality gates, algorithms, and software, is the proprietary property of Percy and is protected by copyright, trademark, and other intellectual property laws.

Generated Code: Code generated by Percy for you is licensed to you under the same terms as your existing codebase. You are responsible for ensuring generated code complies with your project's license and third-party dependencies.

6. Pricing and Payment

• Pricing is based on the number of tasks completed per month
• Your first 50 tasks are free with no credit card required
• After the free tier, you must select a paid plan to continue using the Service
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• You are responsible for all applicable taxes

7. Service Level and Availability

While we strive for high availability, Percy is provided "as is" without guarantees of uptime or performance. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. Scheduled maintenance and updates may cause temporary service interruptions.

8. Code Quality and Liability

Important: Percy is an AI-powered tool designed to assist with software development. While our quality gates are designed to ensure production-ready code, you are ultimately responsible for:

• Reviewing all code generated by Percy before merging
• Testing code in your own environment
• Ensuring compliance with your security and quality standards
• Any bugs, security vulnerabilities, or issues in generated code

Percy is not liable for any damages resulting from the use of AI-generated code in your production systems.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERCY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Abusive or fraudulent use of the Service
• At our discretion for business reasons

You may cancel your account at any time. Upon termination, your right to use the Service will immediately cease.

12. Indemnification

You agree to indemnify and hold harmless Percy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court to protect intellectual property rights.
